Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of GivingSignal, operated by GivingSignal Inc. (“we”, “us”, or “our”). By accessing or using our platform at givingsignal.ca, you agree to be bound by these Terms.

If you are using GivingSignal on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

GivingSignal is a donor propensity intelligence platform designed for Canadian charities. The platform provides:

  • AI-powered donor propensity scoring and segmentation
  • CASL-aware campaign planning tools with pre-built fundraising presets
  • Email campaign creation and sending via connected email providers
  • Donor data import from CSV files and third-party integrations
  • Engagement analytics and reporting

3. Accounts & Access

You must create an account to use GivingSignal. You are responsible for maintaining the security of your login credentials and for all activity that occurs under your account.

You must provide accurate and complete information when creating your account. You may not share your account credentials with others or create accounts for the purpose of circumventing subscription limits.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently or in bad faith.

4. Subscriptions & Billing

GivingSignal is offered on a paid subscription basis. Subscription fees are charged in Canadian dollars (CAD) via Stripe, our payment processor.

Subscriptions are billed monthly and renew automatically unless cancelled. You may cancel your subscription at any time through Settings → Billing. Cancellation takes effect at the end of the current billing period — you retain access until then and are not entitled to a prorated refund for the remaining period.

We reserve the right to change subscription pricing with 30 days' notice. Continued use of the platform after a price change constitutes acceptance of the new pricing.

5. Your Data & Donor Information

You retain ownership of all donor data you upload to GivingSignal. By uploading data, you grant us a limited licence to process that data solely for the purpose of providing the service to you.

You represent and warrant that:

  • You have the legal right to upload and process the donor data you provide
  • You have obtained any consents required under CASL, PIPEDA, and applicable Canadian privacy laws
  • Your use of the platform complies with all applicable laws and regulations
  • You will not upload data relating to individuals under the age of 18 without appropriate consent

6. CASL Compliance Responsibility

GivingSignal provides tools to help you manage CASL compliance, including consent window tracking and suppression lists. However, you are solely responsible for ensuring your email campaigns comply with Canada's Anti-Spam Legislation (CASL) and all other applicable laws.

We are not liable for any regulatory penalties, fines, or legal claims arising from your use of the campaign sending features in a non-compliant manner.

7. Acceptable Use

You agree not to use GivingSignal to:

  • Send spam or unsolicited commercial messages in violation of CASL or any other law
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems or other users' data
  • Reverse engineer, decompile, or attempt to extract the source code of our platform
  • Resell or sublicense access to the platform without our written permission
  • Use the platform for any unlawful purpose or in violation of any applicable regulations

8. AI-Generated Content

GivingSignal uses artificial intelligence to generate donor scores, campaign recommendations, and email drafts. AI-generated content is provided as a starting point and may contain errors or inaccuracies.

You are responsible for reviewing all AI-generated content before use, including email drafts sent to donors. We make no warranties regarding the accuracy, completeness, or fitness of AI-generated outputs for any particular purpose.

9. Intellectual Property

The GivingSignal platform, including its software, design, algorithms, campaign presets, and branding, is owned by GivingSignal Inc. and protected by Canadian and international intellectual property laws.

These Terms do not grant you any right to use our trademarks, logos, or brand assets without our prior written consent.

10. Limitation of Liability

To the maximum extent permitted by applicable Canadian law, GivingSignal Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of donor relationships, or data loss, arising from your use of or inability to use the platform.

Our total liability to you for any claim arising from these Terms or your use of the platform shall not exceed the amount you paid to us in the three months preceding the claim.

11. Disclaimers

The platform is provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that the platform will be uninterrupted, error-free, or free of security vulnerabilities.

Propensity scores and AI recommendations are predictive tools, not guarantees of donor behaviour. Actual fundraising results will vary.

12. Termination

Either party may terminate these Terms at any time. You may terminate by cancelling your subscription and ceasing use of the platform. We may terminate your access if you violate these Terms, with or without prior notice depending on the severity of the violation.

Upon termination, your right to access the platform ceases immediately. We will retain your data for 30 days following termination, after which it will be permanently deleted. You may export your data at any time before termination.

13. Governing Law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising from these Terms shall be resolved in the courts of British Columbia, Canada.

14. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by a prominent notice on the platform at least 14 days before the changes take effect. Your continued use of the platform after changes take effect constitutes acceptance of the updated Terms.
